Terms of Service

'The Company' refers to Altius Group GmbH. 'The Client' refers to any individual or entity engaging the services of the Company. 'The Services' refer to all management consulting, advisory, and training services provided by the Company.

2. Scope of Services

The specific scope of services, deliverables, timelines, and fees for any engagement will be detailed in a separate Statement of Work (SOW) or engagement letter, which must be signed by both the Company and the Client. These Terms of Service are incorporated by reference into every SOW.

3. Client Obligations

The Client agrees to provide the Company with timely access to relevant information, resources, and personnel required for the successful delivery of the Services. The Client is responsible for the accuracy of all information provided to the Company.

4. Fees and Payment

Payment terms will be specified in the SOW. Invoices are payable within 30 days of receipt unless otherwise agreed in writing. The Company reserves the right to suspend Services for overdue payments.

5. Confidentiality

Both parties agree to keep confidential all non-public information received from the other party during the engagement. This obligation of confidentiality shall survive the termination of the engagement.

6. Intellectual Property

Any pre-existing intellectual property shall remain the property of its respective owner. All new intellectual property, including reports, analyses, and methodologies developed by the Company during the provision of the Services, shall be the property of the Company, unless otherwise specified in the SOW. The Client is granted a non-exclusive, perpetual license to use deliverables for its internal business purposes.

7. Limitation of Liability

The Company's liability for any claim arising out of this agreement shall not exceed the total fees paid by the Client to the Company under the relevant SOW. The Company shall not be liable for any indirect, consequential, or special damages.

8. Final Provisions

These terms shall be governed by the laws of Germany. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts of Berlin. The Company reserves the right to modify these terms at any time.
